Terms & Conditions for Referred Plumbers

These Terms & Conditions ("Terms") apply to all independent plumbers ("you") who accept job referrals from Kapha Pty Ltd ("Kapha", "we", "us", "our"). By accepting referrals or performing services for customers referred by Kapha, you agree to be bound by these Terms.

We reserve the right to change these Terms at any time. You should review these Terms periodically. If changes materially affect your rights or obligations, we will make reasonable efforts to notify you.


1. Independent Status

You acknowledge and agree that you are engaged as an independent plumber, and not as an employee, partner, agent, or representative of Kapha Pty Ltd. Nothing in these Terms constitutes an employment relationship or entitles you to employment benefits of any kind.


2. Customer Relationship

You understand and agree that any customers referred by Kapha enter into a direct contractual relationship with you. Kapha Pty Ltd is not a party to any agreement between you and the customer. You are solely responsible for invoicing and collecting payment directly from the customer.

Kapha will provide customers with a “standard installation” price for select products. Where a job is confirmed by the customer as a standard installation, you agree to complete the work for the pre-agreed rate. You remain responsible for issuing the invoice and ensuring full payment is received from the customer. Kapha does not guarantee payment and shall not be liable in the event a customer fails to pay.


3. Standard Installation Scope

A “standard installation” includes the following:

  • GST

  • Travel time to site

  • Removal of existing product (if applicable)

  • Complete installation of the product(s) purchased by the customer from Kapha, including any separate filter faucet or 3-way faucet, where the customer has an isolation tap under sink

  • Returning the installation site to the same condition as found

  • Disposal of any rubbish caused by the installation

Any additional labour, modifications, fittings or requirements outside of this scope must be quoted to the customer separately and approved before proceeding.


4. Workmanship and Conduct

You agree to:

  • Provide services in a professional, lawful, and workmanlike manner

  • Hold all required licences and qualifications to undertake plumbing work in accordance with applicable laws

  • Take full responsibility for your workmanship, tools, safety procedures, and on-site conduct

Kapha Pty Ltd does not supervise or oversee your work and is not responsible for the quality, timeliness, or safety of services provided.


5. Insurance Requirements & Release of Liability

To the fullest extent permitted by law, you agree to release and hold harmless Kapha Pty Ltd from any and all liability for:

  • Personal injury, illness or death suffered by you or any third party

  • Property damage caused during your work

  • Any claims made by the customer regarding your services

You are solely responsible for maintaining appropriate insurance coverage including, but not limited to, public liability, personal accident insurance and workers’ compensation where applicable.


6. Indemnity

You agree to indemnify and keep indemnified Kapha Pty Ltd against any and all claims, demands, costs, losses or liabilities arising out of:

  • Your performance of plumbing services

  • Any breach of these Terms

  • Your failure to hold appropriate insurance, licences, or comply with applicable laws

  • Claims brought by customers or third parties due to your actions or omissions


7. Non-Exclusivity

You are free to accept other work and are under no obligation to accept referrals from Kapha Pty Ltd. Likewise, Kapha is under no obligation to provide a minimum number of referrals.


8. Termination

Kapha Pty Ltd may cease providing referrals and terminate this arrangement at any time and without notice. Any obligations which by their nature should survive termination will continue to apply (including clauses relating to indemnity and liability).


9. Dispute Resolution

If any dispute arises out of or in connection with these Terms, the parties agree to attempt to resolve the dispute in good faith through informal negotiation. If not resolved, either party may pursue legal remedies in accordance with the governing law.


10. Governing Law and Jurisdiction

These Terms shall be governed by the laws of New South Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
